These Terms of Service (“Terms”) are a binding legal agreement between you (“you,” “Customer”) and KeetonHosting (“we,” “us,” or “our”) governing your access to and use of keetonhosting.com and the hosting, domain, email, VPS, dedicated server, SSL, and related services we offer (the “Services”). By placing an order, creating an account, or using any Service, you agree to these Terms, our Privacy Policy, and our Acceptable Use Policy. If you do not agree, do not use the Services.

1. Eligibility and account

• •You must be at least 18 years old and able to form a binding contract in your jurisdiction.
• •You are responsible for the accuracy of your registration information, keeping credentials confidential, and all activity that occurs under your account.
• •You must notify us promptly of any unauthorized access or suspected security incident affecting your account.

2. Description of Services

KeetonHosting resells and operates hosting, domain registration and transfer, email, VPS, dedicated servers, SSL certificates, website builders, security add-ons, and related products. Some Services are fulfilled by upstream registrars, infrastructure partners, and payment processors, whose own terms may apply in addition to these Terms.

3. Fees, billing, and renewals

• •Services are billed in advance for the term selected at checkout (monthly, annual, or multi-year).
• •Prices are exclusive of applicable taxes, which you are responsible for paying.
• •Domains, SSL certificates, hosting, and other subscription Services renew automatically at the then-current price unless canceled before the renewal date.
• •You authorize us and our payment processors to charge your payment method for all applicable fees, including renewals.
• •If a payment fails, we may suspend or terminate Services and pursue collection of amounts due.

4. Refunds and cancellations

• •Money-back windows, when offered, are advertised on the relevant plan page and apply only to first-time purchases of that Service.
• •Domain registrations, transfers, renewals, and premium domains are non-refundable once processed by the registrar.
• •SSL certificates are non-refundable after issuance.
• •You may cancel a Service at any time via your account; cancellation stops future renewals but does not entitle you to a refund of the current term except as expressly stated.

5. Customer responsibilities

• •Comply with the Acceptable Use Policy and all applicable laws.
• •Maintain your own backups of data stored on the Services; while we may provide backup features, you are ultimately responsible for retaining copies of your data.
• •Secure your applications, code, plugins, themes, and third-party integrations, including keeping them patched.
• •Provide accurate WHOIS/registrant information for domain registrations and respond promptly to registrar verification requests.

6. Suspension and termination

We may suspend, restrict, or terminate any Service, in whole or in part, with or without notice, if:

• •You breach these Terms, the Acceptable Use Policy, or applicable law.
• •Payment for the Service is past due.
• •The Service is causing harm, instability, or excessive resource consumption on shared infrastructure.
• •Required by an upstream provider, registrar, or law-enforcement or regulatory authority.
• •Necessary to protect the security or integrity of our systems, customers, or third parties.

Where practical, we will notify you before taking action and give you a reasonable opportunity to cure. Upon termination, your right to use the Services ceases and we may delete account data after a reasonable retention period.

7. Intellectual property

You retain ownership of content and data you upload to the Services. You grant KeetonHosting a limited, worldwide, royalty-free license to host, copy, transmit, and display that content solely to operate and provide the Services. The KeetonHosting name, logo, Site, and Service software are our property and may not be copied or reused without permission.

8. Third-party services and links

The Services rely on and interoperate with third-party providers, including our upstream reseller storefront at shop.keetonhosting.com, registrars, and payment processors. Your use of those third-party services is governed by their own terms and policies. We are not responsible for third-party services except as expressly stated.

9. Service levels and availability

We work to provide reliable Services, but except where a written service-level agreement is expressly offered for a specific plan, the Services are provided without service-level guarantees. Scheduled maintenance, upstream provider outages, force majeure events, and DDoS or abuse-related incidents may cause temporary unavailability.

10. Disclaimer of warranties

To the maximum extent permitted by law, the Services are provided “as is” and “as available”, without warranties of any kind, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage of trade. We do not warrant that the Services will be uninterrupted, secure, or error-free, or that any data will not be lost or corrupted.

11. Limitation of liability

To the maximum extent permitted by law:

• •KeetonHosting and its officers, employees, contractors, agents, licensors, and upstream providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including lost profits, lost revenue, lost data, or business interruption, even if advised of the possibility of such damages.
• •Our total aggregate liability arising out of or relating to the Services or these Terms is limited to the amounts actually paid by you to KeetonHosting for the affected Service in the twelve (12) months immediately preceding the event giving rise to the claim.
• •These limitations apply regardless of the theory of liability and survive termination of the Services.

12. Indemnification

You agree to defend, indemnify, and hold harmless KeetonHosting and its upstream providers from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms, the Acceptable Use Policy, or applicable law; (c) content or code you upload, host, or transmit via the Services; or (d) your infringement or misappropriation of third-party rights.

13. Governing law and disputes

These Terms are governed by the laws of the State of Arizona, United States, without regard to conflict-of-laws principles. You and KeetonHosting agree to the exclusive jurisdiction of the state and federal courts located in Maricopa County, Arizona for any dispute not required to be resolved through informal resolution. 14. Changes to the Terms

We may update these Terms from time to time. Material changes will be posted on this page and, where required, communicated in advance. Your continued use of the Services after an update constitutes acceptance of the revised Terms.

15. Miscellaneous

• •Entire agreement: these Terms, the Privacy Policy, the Acceptable Use Policy, and any order-specific terms form the entire agreement between you and KeetonHosting regarding the Services.
• •Severability: if any provision is held unenforceable, the remaining provisions remain in effect.
• •No waiver: our failure to enforce any right or provision is not a waiver of that right or provision.
• •Assignment: you may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
• •Force majeure: neither party is liable for delays or failures caused by events beyond its reasonable control.
